Legal Agreement

  • Refrain from harassment, discrimination, or abusive language in any form
  • Participate honestly in course activities and assessments
  • Provide truthful and accurate information during registration and throughout your engagement with us
  • Respect the learning environment and not disrupt classes or other educational activities
  • Acknowledge and respect diverse perspectives and backgrounds of all participants

3. Prohibited Content and Activities

You must not engage in or post content that:

  • Contains hate speech, discrimination, or promotes violence against individuals or groups
  • Includes explicit, obscene, or inappropriate material unsuitable for an educational environment
  • Infringes upon intellectual property rights of others
  • Contains false, misleading, or defamatory information
  • Includes unsolicited advertising, spam, or promotional materials
  • Violates privacy rights or discloses personal information of others without consent
  • Contains malware, viruses, or any harmful computer code

4. Age Restrictions and Requirements

Regarding age and eligibility:

  • You must be at least 18 years old to create an account and enroll in courses independently
  • Users between 13 and 18 years old must have verifiable parental or guardian consent
  • We reserve the right to request age verification documentation
  • False representation of age may result in immediate account termination
  • Parents or guardians are responsible for the activities of minors using their accounts

Liability Limitations and Warranties

5. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, MarketMind Institute disclaims all warranties, whether express or implied, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties regarding the accuracy, completeness, or reliability of course content
  • Guarantees of specific learning outcomes or employment results
  • Warranties that our services will be uninterrupted, secure, or error-free
  • Any warranties regarding third-party content, tools, or services referenced in our courses

We make reasonable efforts to provide quality educational content, but we cannot guarantee that all information is completely current, accurate, or suitable for every individual's needs.

6. Limitation of Liability

To the maximum extent permitted by applicable law, MarketMind Institute, its directors, employees, affiliates, and partners shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Personal injury or property damage arising from use of our services
  • Errors, mistakes, or inaccuracies in course content
  • Unauthorized access to or alteration of your data
  • Actions or content of third-party websites, services, or users
  • Service interruptions or delays

In no event shall our total liability to you for all damages exceed the amount you paid to us for the services in the twelve months preceding the claim, or one hundred thondese Yen (¥100,000), whichever is less.

7. Exclusion of Consequential Damages

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law. You acknowledge that the limitations of liability in these terms and conditions are reasonable and reflect the allocation of risk between parties.

8. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including:

  • Natural disasters, earthquakes, floods, or extreme weather events
  • Wars, terrorism, civil unrest, or governmental actions
  • Pandemics, epidemics, or public health emergencies
  • Power outages, telecommunications failures, or internet disruptions
  • Labor disputes, strikes, or lockouts
  • Acts of God or other unforeseen circumstances

Indemnification

9. User Indemnification Obligations

You agree to indemnify, defend, and hold harmless MarketMind Institute, its officers, directors, employees, agents, affiliates, and partners from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use or misuse of our services
  • Your violation of these Terms and Conditions or any applicable laws
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Content you submit or share through our services
  • Any fraudulent, negligent, or unlawful conduct on your part
  • Claims made by other users arising from your interactions with them

Legal Information and Dispute Resolution

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of, without regard to its conflict of law provisions. You agree that any legal action or proceeding between MarketMind Institute and you shall be brought exclusively in the courts located in Tokyo.

11. Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions:

  • Both parties agree to first attempt to resolve the dispute through good faith negotiations
  • You agree to contact us in writing detailing the nature of the dispute
  • We will respond within 30 days with our position and proposed resolution
  • If informal resolution fails, either party may pursue formal legal action
  • All disputes shall be resolved in the courts of Tokyo

Nothing in this clause shall prevent either party from seeking injunctive relief in court to prevent irreparable harm.

12. Severability Clause

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the provision shall be severed from these Terms and Conditions, and the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms and Conditions, together with our Terms of Service and Privacy Policy, constitute the entire agreement between you and MarketMind Institute regarding your use of our services and supersede all prior agreements, understandings, and communications, whether written or oral.
